MUNNS LEGAL / BUSINESS COUNSEL
Outside counsel for insurance and financial-services agencies
I'm Jaxon Munns, a business attorney in Lehi, licensed in Utah and Idaho. I offer outside counsel to insurance and financial-services agencies on the business side: agent and producer agreements, client and vendor contracts, entity and ownership paper, and the day-to-day legal questions that come with running an agency. It's a monthly retainer, so you have a lawyer who already knows how your agency is set up.
Agencies run on relationships and paper: agents, carriers, marketing organizations, partners, and clients. When those deals are on a handshake or a borrowed template, problems tend to show up later, usually around commissions, who owns the book, and what happens when someone leaves.
On a retainer, I review and draft the agency's contracts, set up standard agreements so you're working from your own paper, keep the entity and ownership documents current, and stay available when questions come up.
Insurance and securities are regulated by each state. I'm licensed in Utah and Idaho only. When a regulatory question involves another state, or needs a lawyer whose practice centers on insurance regulation, I'll say so and coordinate with local counsel. I won't guess at it.
If I'm not the right fit, I'll tell you. Sending the form does not make me your lawyer.

Go to the formWhat legal work does an insurance or financial-services agency need?
Usually agreements with agents and producers, contracts with clients, vendors and partners, clean entity and ownership paper, and someone to call when a business question comes up. That's the work I do as outside counsel.
Can you draft agent or independent contractor agreements?
Yes. I draft and review agreements between agencies and their agents, including compensation, termination, non-solicitation, and who owns client relationships, all within what Utah law allows.
Do you handle insurance regulatory and licensing questions?
I'll help with the business side and tell you when a question is regulatory. I'm licensed in Utah and Idaho only. Regulatory questions outside those states go to local counsel, and I coordinate with them.
Do you work with agencies outside Utah?
I'm licensed in Utah and Idaho. If your agency or its agents work in other states, we talk at the start about what I can handle and what needs local counsel.
Who is the client: the agency or the owner?
Usually the agency entity. We put that in writing at the start so everyone knows who I represent.
Does sending the form make you my lawyer?
No. The form is an inquiry. We are not attorney and client until we agree to that in writing.
