MUNNS LEGAL / BUSINESS COUNSEL

Contract review for Utah small businesses

I'm Jaxon Munns, a Utah attorney in Lehi. I review and draft contracts for Utah small businesses: vendor and customer agreements, service agreements, leases, NDAs, and the paper that comes with hiring and partnering. I do this as outside counsel on a monthly retainer, so the next contract goes to a lawyer who already knows your business.

Most small businesses don't get one contract a year. They get a steady stream, and the risky ones usually show up with a short deadline. When a lawyer has to learn your business from scratch every time, that gets slow and expensive.

On a retainer, you send me the contract. I read it against how your business actually works, mark what matters, tell you in plain language what I'd push back on, and draft the redline or the reply. Over time we build your own standard templates, so you're working from your paper instead of theirs.

I'll tell you which terms are worth a fight and which aren't. Whether to sign is your call. If one contract is all you have, I'll tell you a retainer is probably more than you need.

Sending the form does not make me your lawyer. I am licensed in Utah and Idaho.

What does a contract review include?

I read the whole agreement and flag the terms that matter: payment, liability, indemnity, termination, ownership of work, and dispute terms. Then I explain them in plain language and draft any redline or reply you need.

Can you draft our own standard contracts?

Yes. Building your own customer or service agreement is often the most useful thing a small business can do, because then the other side is reviewing your paper.

Why a retainer instead of paying per contract?

If contracts come in regularly, having one lawyer who already knows the business means faster turnaround and no new intake each time. If contracts are rare, paying per project may make more sense, and I'll say so.

How fast can you turn a contract around?

It depends on the contract and what's already on my desk. Tell me your deadline when you send it, and I'll tell you right away whether I can meet it.

Do you only work with businesses in Lehi?

No. I work out of Lehi and take Utah businesses statewide.

Does sending the form make you my lawyer?

No. The form is an inquiry. We are not attorney and client until we agree to that in writing.
